Title VIII Section II. Of the Delegates of the University Press

1. There shall be a Delegacy of the University Press which shall have charge of the affairs of the Press. It shall appoint the Secretary to the Delegates, the Printer to the University, the two Deputy Secretaries, and any other officer whose appointment shall entitle him or her to a seat on the Finance Committee, and shall have such other powers as shall be laid down by decree.

2. The Delegacy shall consist of:

(1) the Vice-Chancellor;
(2), (3) the Proctors;
(4) the Assessor;
(5)-(19) fifteen members of Congregation appointed by Council and the General Board jointly in the manner laid down in clause 4 below.

3. An appointed Delegate shall hold office for five years, except that in the case of a vacancy arising in the course of an academic year the appointment shall be for five years together with the remainder of that academic year. He shall then be eligible for reappointment for a second period of five years. Exceptionally he may be reappointed for a third period of five years, but such appointments shall require to be confirmed by Council by decree. In no circumstances shall a Delegate hold office after the 30 September next following his 67th birthday, or if his birthday falls on 30 September then after his 67th birthday.

4. Council and the General Board shall appoint the delegates under (5)-(19) as follows:

(a) a committee shall be set up consisting of:
(1) the Vice-Chancellor;
(2), (3) the Proctors;
(4) -(8) five members of Council appointed by Council;
(9)-(13) five members of the General Board appointed by the General Board;

(b) the members under (4)-(13) shall hold office for such period not exceeding five years as the body appointing them shall determine, but the periods determined shall always be such that the period of at least one person under (4)-(8) and of at least one person under (9)-(13) shall come to an end in the course of every academic year. No person shall be eligible for reappointment under (4)-(13) until the expiry of one year from the end of his previous appointment;

(c) early in Trinity Term each year the committee shall recommend names to Council and the General Board for appointment as Delegates in place of those whose period of office will come to an end of the end of that academic year. In the case of vacancies arising during the course of an academic year, the committee shall recommend names for appointment as soon as practicable after the vacancy or impending vacancy becomes known;

(d) Council and the General Board shall consider the recommendations made under sub-clause (c) above, and either body may, if it is dissatisfied with the recommendations, refer them back to the Committee for reconsideration. If after such reconsideration either body is still dissatisfied with the recommendations, a joint meeting of Council and the General Board shall be held to decide which persons should be appointed; and the decisions of this joint meeting shall be final;

(e) Council and the general board shall, in making appointments, bear in mind the need to ensure that the composition of the Delegacy as a whole is such as to cover the main branches of academic studies and at the same time to provide a sufficiency of persons competent in matters of organisation and finance.

5. If a Delegate appointed by Council and the General Board shall have attended fewer than nine meetings of the Delegates in the course of any academic year, his seat shall at the close of such year be declared by the Vice-Chancellor to be vacant and shall thereupon be vacated; provided always that

(a) a person elected to fill a casual vacancy shall only be required to attend the same proportions of meetings held subsequent to the date of his election as nine bears of the total number of meetings held in his academic year the academic year, any fraction being reckoned to the nearest unit;

(b) the Delegates may waive the requirement in the case of a member absent from Oxford for a purpose approved by them. [page 2]

6. there shall be a Finance Committee of the Delegacy which, subject to the general authority of the Delegates, shall have the direction of the finance and management of the business. The constitution of the committee shall be determined by decree, and, notwithstanding the provisions of Title IX, Sect. III, cl. 2, the decree may provide for a person other than the Vice-Chancellor to be chairman.

7. The Delegates may from time to time delegate to any other body or person responsibility for any matter for which responsibility has been laid on the Delegates, and may delegate such powers as they may consider necessary for the discharge of this responsibility, provided always that any such delegations may be withdrawn (either generally or in respect of a specific item) at any time and that such delegations shall not relieve the Delegates of general responsibility for the matters delegated. Title LXXVII Section LXXVII, University Press, Delegacy of the

1. The Delegacy of the University Pres shall consist of nineteen Delegates and shall have charge of the affairs of the Press as provided in Title VIII, Sect. II.

2. The Finance Committee of the Delegacy required by Title VIII, Sect. II shall consist of:

(1) a Chairman elected by the Delegacy from among the appointed Delegates;
(2) the Vice-Chancellor;
(3) the Senior Proctor;
(4) -(9) six members elected by the Delegacy from among the appointed Delegates;
(10) a person possessing high qualifications in business or finance aqnd appointed by Council after consultation with the Delegates;
(11)-(14)/(15) the Secretary to the Delegates, the Printer to the University, the two Deputy Secretaries, and, if such an officer is appointed, the Finance Director.

3. The chairman and the six members elected from among the appointed Delegates shall hold office for a period not exceeding four years and, so long as they continue to be Delegates, shall be eligible for re-election for successive further periods not exceeding four years. If any Delegate-member of the Finance Committee shall cease to be a Delegate, his membership of the committee shall forthwith be terminated.

4. The member appointed by Council shall hold office for four years and shall will be eligible for reappointment for a second term of four years; he may be reappointed by decree for a third term of four years. In no circumstances shall he old office after the 30 September next following his 67th birthday, or if his birthday falls on 30th September then after his 67th birthday.

5. (a) The Delegates should determine the emoluments and allowances to be paid by the Press to the Chairman of the Finance Committee in respect of his tenure of that office.

(b) At the request of the Delegates, the General Board may relieve him of such of his regular university duties, and on such terms, as it may determine.

6. (a) The Finance Committee shall submit the minutes of its meetings to the next ensuing meeting of the Delegacy and shall keep the Delegacy informed regarding matters dealt with or under consideration by the Finance Committee.

(b) The Finance Committee may set up such sub-committees as it may from time to time think fit. Such sub-committees may include persons are not members of the Finance Committee. [page 4]

7. (a) The annual accounts of the Delegacy shall be audited according to instructions received from the Delegates by an auditor who shall be appointed annually by Council and shall be paid by the Delegates. The auditor shall transmit to Council a certificate as to the correctness of the accounts.

(b) The annual accounts shall be presented to the Delegacy by the Finance Committee at a stated meeting fixed for the purpose, and shall be accompanied by a report on the accounts submitted by the Finance Committee.

8. (a) The audited accounts of the Delegacy, together with the Finance Committee's report shall be examined by a committee of Council set up for that purpose, some members of which may be Curators of the University Chest not members of Council. The committee shall also be furnished by the Delegacy with an abstract of the accounts for submission to Council.

(b) The Chairman of the Finance Committee (or his deputy), the Secretary to the Delegates (or his deputy), and the Auditor of the Press shall be in attendance to supply such further explanations of the accounts and of the report as the committee may require.

(c) The committee shall then submit the abstract of the accounts and the Finance Committee's report to Council, together with such observations on the accounts as it may think fit.

9. The abstract of the accounts and the Auditor's certificate provided for in clauses 7 (a) and 8 (a) above shall be published in the University Gazette as part of the report referred to in clause 10 below.

10. The Delegates shall submit to Council annually a report on the general state and activities of the University Press which shall, subject to the authorization of Council, be published in the University Gazette.

11. The Delegates may establish a small Seal of the University to be employed exclusively in the transaction of the business of the Press. They shall provide for the safe custody of the Seal, which may be used only on the authority of the Finance Committee or the Delegacy or the Vice-Chancellor. Any deed or instrument to which the Seal is affixed shall be signed by the Chairman, or by another Delegate-member, of the Finance Committee, and countersigned by the Secretary to the Delegates or by another senior officer of the Press authorized by him for the purpose.
